Art.1. <\/strong>(1) \u201cCOLLEGE OF PRIVATE PSYCHIATRY\u201d ASSOCIATION, hereinafter referred to<\/p>\n as the \u201cASSOCIATION\u201d, is a non-profit legal entity within the meaning of the<\/p>\n Non-Profit Legal Entities Act.<\/p>\n (2) The Association shall<\/p>\n be an independent, voluntary and non-political organization.<\/p>\n (3) The Association shall be liable for its obligations with its own property. The<\/p>\n Association shall not be liable for the obligations of its members, nor shall<\/p>\n they be liable for its obligations.<\/p>\n (4) The Association shall<\/p>\n perform its activity in accordance with the Statutes and the legislation of the<\/p>\n Republic of Bulgaria. Art.2. activity under the name \u201c\u041a\u041e\u041b\u0415\u0413\u0418\u0423\u041c \u0427\u0410\u0421\u0422\u041d\u0410 \u041f\u0421\u0418\u0425\u0418\u0410\u0422\u0420\u0418\u042f\u201d.<\/p>\n (2) The name shall be written in Bulgarian and<\/p>\n it may be written in a foreign language and as an abbreviation.<\/p>\n <\/span><\/span><\/p>\n Art.3.<\/strong> The seat and registered address of the Association shall be: 22 A Danube str., Oborishte municipality,<\/p>\n 1000 Sofia. <\/span> <\/p>\n <\/span><\/p>\n Art.4.<\/strong><\/p>\n The Association is established for an indefinite<\/p>\n period of time. <\/p>\n <\/span><\/span><\/p>\n Art.5.<\/strong> (1) The Association may on the basis of a resolution of the General Meeting<\/p>\n open branches outside the populated area where its seat is situated, including<\/p>\n abroad.<\/p>\n (2) The resolution of the General Meeting for the opening of a branch<\/p>\n shall mandatorily contain: the seat and address of the branch, the name of the<\/p>\n branch manager, his powers and representative powers, as well as the respective<\/p>\n limits, if any.<\/p>\n (3) The resolution of the General Meeting for the opening of a branch shall<\/p>\n be registered in the respective district court whose jurisdiction covers the<\/p>\n seat of the branch, in the register of non-profit legal entities, after an<\/p>\n application of the elected branch manager.<\/p>\n (4) When a branch is opened abroad, its activity shall be settled by the<\/p>\n law of the country, in which the seat of the branch will be situated.<\/p>\n (5) The branch manager<\/p>\n shall represent the non-profit legal entity for the branch\u2019s activity. <\/span><\/span><\/p>\n [\/pl_text] CHAPTER II\u00a0 \u00a0 \u00a0 \u00a0DETERMINATION OF THE TYPE OF ACTIVITY, SCOPE OF ACTIVITY, OBJECTIVES OF THE ASSOCIATION AND MEANS FOR THE ACHIEVEMENT[\/pl_heading] Art.6. <\/strong>The Association shall perform<\/p>\n its activity for the private benefit.<\/span> <\/p>\n <\/span><\/p>\n Art.7.<\/strong> The Association shall have the following scope of activity: development and<\/p>\n enrichment of the scientific knowledge and practice in the field of mental<\/p>\n health and mental illness; cooperation with organizations, institutions, natural<\/p>\n persons and legal entities in the country and abroad on the issues concerning<\/p>\n mental health and mental disease; establishing contacts with similar foreign<\/p>\n organizations; organization of national and international symposia, seminars, conferences<\/p>\n and other meetings on the problems of mental health and mental diseases, organization<\/p>\n and assistance for the presentation and promotion of scientific works and<\/p>\n developments in the field of mental health and mental diseases, as well as<\/p>\n development of and participation in projects for studying and examination of<\/p>\n various aspects in the field of mental health and mental disease. <\/p>\n <\/span><\/span><\/p>\n Art.8. <\/strong>The objectives of the<\/p>\n Association shall be:1. To join the efforts of its members for the development of psychiatry<\/p>\n as a science and practice in all fields related to the problems of mental<\/p>\n health, psychiatric and psychological health service such as preventive<\/p>\n treatment, medical treatment, rehabilitation and psychological pedagogy, the<\/p>\n focus being on the mechanisms under market conditions.<\/p>\n 2. To conduct information activity related to the problems of mental<\/p>\n health and mental diseases, as well as to assist and participate in the<\/p>\n development of all social and private organizational forms in this field.<\/p>\n 3. To represent the<\/p>\n interests of the members of the Association.<\/p>\n 4. To take part in the<\/p>\n creation of rules and rules of ethics of private practitioners in the field of<\/p>\n mental health, which are to be compliant with the good clinical practice, the<\/p>\n rules of ethics of the profession, as well as with the laws of the country.<\/p>\n 5. To assist for the<\/p>\n development of the research through financing, legal service and support for<\/p>\n the research and scientific teams of its members.<\/p>\n 6. To support the<\/p>\n international contacts of specialists and to implement international<\/p>\n cooperation and activities assisting for the development of the science and<\/p>\n practice related to mental health.<\/p>\n 7. To assist for the<\/p>\n improvement of the professionalism of private practitioners through the<\/p>\n organization of constant training and granting of scholarships and funds for<\/p>\n training in the country and abroad, through training programmes, and through<\/p>\n support for the institutions engaged in private practice licensing.<\/p>\n 8. To support the<\/p>\n personal, collective and private initiatives in the field of development of<\/p>\n psychiatry. <\/span><\/span><\/p>\n Art.9. <\/strong>For<\/p>\n the achievement of the purposes, the Association shall carry<\/p>\n out various activities for fund-raising, proper investment thereof for the<\/p>\n purpose of keeping and increasing thereof, through:1. Development of<\/p>\n programmes related to mental health and disease.<\/p>\n 2. Organization of<\/p>\n advertisement and charity activities, seminars and theoretical conferences<\/p>\n promoting the activity and objectives of the Association.<\/p>\n 3. Organization and conduction of seminars, lectures with the<\/p>\n participation of speakers from the country and abroad.<\/p>\n 4. Organization of information centres, provision of periodical<\/p>\n publications related to the development of psychiatry as a science and<\/p>\n psychiatric help in the country and abroad.<\/p>\n 5. Support for the establishment of contacts with similar organizations<\/p>\n in and outside the borders of the county for exchange of experience.<\/span><\/span><\/span><\/p>\n [\/pl_text] CHAPTER III\u00a0 \u00a0 \u00a0 \u00a0FUNDS FOR FINANCING OF THE ACTIVITY, MEMBERSHIP FEE AND PROPERTY[\/pl_heading] Art.10.<\/strong> The<\/p>\n funds for financing of the activity of the Association<\/p>\n shall be raised through:1. Membership fee;2. Donations, aids and<\/p>\n sponsorship;3. Subsidies under<\/p>\n national and international projects;4. Other receipts; <\/p>\n <\/span><\/span><\/p>\n Art.11. <\/strong>(1)<\/p>\n All members of the Association shall after being<\/p>\n admitted pay for the performance of its activity a cash entry fee in the form<\/p>\n of a donation, for which a special certificate shall be issued to them.(2) The members of the Association shall pay an annual membership fee in such<\/p>\n amount and in such terms as determined by a resolution of the General Meeting. The<\/p>\n term for payment of the annual membership fee shall be not later than by 31 December<\/p>\n of the current year it is due for. <\/span><\/p>\n <\/span><\/p>\n Art.12.<\/strong> (1) The budget of the Association shall be drawn up by the Management Board, as<\/p>\n it shall be approved and adopted by the General Meeting. When making<\/p>\n expenditures under the budget the Management Board shall strictly adhere to the<\/p>\n parameters set therein.(2) The Association shall have full<\/p>\n discretionary powers as regards the disposal of its own properties and cash,<\/p>\n including in a foreign currency. <\/span><\/p>\n <\/span><\/p>\n Art.13.<\/strong> (1) The<\/p>\n property of the Association shall consist<\/p>\n of cash, articles and in-rem rights, intellectual property rights, know-how and<\/p>\n all other rights that the legislation allows to be an element of the property<\/p>\n of a non-profit legal entity.(2) The cash of the Association shall be<\/p>\n kept in bank accounts. <\/span><\/span><\/p>\n <\/span> Art.14.<\/strong><\/font><\/span> The<\/p>\n funds and the property of the Association may only be<\/p>\n used for purposes that are compliant with the Statutes.<\/span><\/p>\n <\/span>[\/pl_text] CHAPTER IV\u00a0 \u00a0 \u00a0 \u00a0MEMBERSHIP, RIGHTS AND OBLIGATIONS OF THE MEMBERS, PROPERTY RELATIONS UPON TERMINATION OF THE MEMBERSHIP[\/pl_heading] Art.15.<\/strong> (1) The membership in the Association shall be voluntary. The membership rights<\/p>\n and obligations shall be exercised in person and may not be assigned to other<\/p>\n persons. The membership rights and obligations, except for the property ones,<\/p>\n shall be non-transferrable and shall not pass to third parties in case of death<\/p>\n and upon dissolution of the Association.<\/p>\n (2) The members of the<\/p>\n Association shall be two types: Regular and Associated. Regular members shall<\/p>\n be the persons who are registered and practice as \u201cprivate psychiatrists\u201d. Associated<\/p>\n members shall be those whose activity is related and relevant to mental health<\/p>\n and psychiatry. Every Associated member shall become a Regular member as soon<\/p>\n as the preconditions set forth hereinabove occur for him. All members of the<\/p>\n Association must accept the Statutes, the objectives of the Association and the<\/p>\n Code of Ethics and pay the fixed membership fee.<\/p>\n (3) Ineligible<\/p>\n to be members of the Association shall<\/p>\n be persons who have been sentenced for having committed grave intentional<\/p>\n crimes or are subject to penalties imposed for breaching the professional<\/p>\n medical ethics. <\/span><\/span><\/p>\n Art.16.<\/strong> (1) New<\/p>\n members shall be admitted on the basis of a written application containing an explicit statement that the applicants<\/p>\n accept the Statutes, the objectives of the Association, the Code of Ethics and<\/p>\n agree to work for their achievement. The applicants shall enclose to their<\/p>\n application a declaration of the absence of obstacles under par.3 of the preceding article, recommendations from two regular members of the Association and a CV.<\/p>\n (2) The candidate members<\/p>\n of the Association must meet the requirements contained in the Statutes and<\/p>\n shall be admitted by the General Meeting (GM).<\/p>\n (3) The applications for<\/p>\n admission of new members shall be addressed to the Association and shall be<\/p>\n referred to the Management Board (MB), which shall make an inspection to verify<\/p>\n whether the requirements of the law and of the Statutes have been complied with.<\/p>\n Applications for membership that meet the conditions for admission shall be put<\/p>\n forward for voting before the General Meeting,<\/p>\n (4) The General Meeting shall<\/p>\n admit new members with simple majority of the attendees. Newly adopted members shall<\/p>\n be registered in the book of members, which shall be kept by the Management Board. <\/p>\n <\/span><\/span><\/p>\n Art.17. shall have the right:<\/p>\n 1. to elect and to be elected in the<\/p>\n management bodies, except for the Associated ones;<\/p>\n 2. to take part in the General Meeting, as<\/p>\n Associated members shall have a deliberative vote;<\/p>\n 3. to put to vote issues of common interest;<\/p>\n 4. to be informed for its activity;<\/p>\n 5. to make use of the Association\u2019s<\/p>\n base and the outcomes from its activity;<\/p>\n 6. to dispute the<\/p>\n resolutions of the General Meeting and the Management Board when taken in<\/p>\n conflict with the law, the Statutes or a previous resolution;<\/p>\n 7. to take part in the activity upon the<\/p>\n performance of its objectives.<\/p>\n (2) The members of the Association shall be bound:<\/p>\n 1. to adhere to the Statutes and to comply<\/p>\n with the resolutions of the General Meeting and the Management Board;<\/p>\n 2. to assist for the performance of the<\/p>\n activity and the achievement of the objectives;<\/p>\n 3. to regularly pay the membership fee and\/or<\/p>\n other cash contributions, in such amount and in such terms as determined by the<\/p>\n General Meeting;<\/p>\n 4. not to make use of the Association\u2019s<\/p>\n activity in a way and for purposes that contradict to the Statutes and the law;<\/p>\n 5. to conform their activity to the<\/p>\n resolutions of the General Meeting and the Management Board, and not to perform<\/p>\n acts lowering the good name and the reputation of the Association;<\/span><\/p>\n <\/span><\/p>\n Art.18.<\/strong> (1) In<\/p>\n case of a violation of the Statutes and the resolutions<\/p>\n of the General Meeting and the Management Board the following penalties may be<\/p>\n imposed on the members of the Association:<\/p>\n 1. reprimand<\/p>\n 2. warning of expulsion<\/p>\n 3. expulsion<\/p>\n (2) Penalties shall be imposed by the<\/p>\n General Meeting on the basis of a proposal of the Management Board and after<\/p>\n hearing of the offender.<\/p>\n (3) The resolution for expulsion shall be<\/p>\n taken by simple majority of the attendees. <\/p>\n <\/span><\/span><\/p>\n Art.19.<\/strong> (1) The membership in the Association shall be terminated on one of the<\/p>\n following grounds:<\/p>\n 1. request for voluntary leaving addressed<\/p>\n to the Association and referred to the Management Board, which shall be put<\/p>\n forward for hearing by the General Meeting;<\/p>\n 2. in case of death or putting under<\/p>\n judicial disability;<\/p>\n 3. expulsion;<\/p>\n 4. dissolution of the non-profit legal<\/p>\n entity;<\/p>\n 5. cancellation.<\/p>\n (2) A member of the<\/p>\n Association shall be expelled by a resolution of the General Meeting in the<\/p>\n following cases: Gross violation of the Statutes of the Association; Discrediting<\/p>\n the Association before third parties; Causing severe property damages to the<\/p>\n Association; Violation of the code of ethics of the Association sanctioned by<\/p>\n the Association\u2019s Commission on Ethics; Violation of the code of ethics for<\/p>\n doctors sanctioned by a resolution of the Code of Ethics of the Bulgarian<\/p>\n Medical Association; Systematic non-performance or violation of the resolutions<\/p>\n of the General Meeting and the Management Board; Acts conflicting with the<\/p>\n Statutes and the law or conduct that makes his further membership incompatible.<\/p>\n The resolution of the General Meeting for expulsion shall be subject to court<\/p>\n review as regards its lawfulness and compliance with the Statutes within one<\/p>\n month from learning about it, but not later than one year from the date of<\/p>\n adoption of the resolution.<\/p>\n (3) The cancellation of the<\/p>\n membership shall take place upon non-payment of the established property<\/p>\n contributions (annual membership fee or another cash contribution determined by<\/p>\n the Statutes or the General Meeting) and in case of systematic (unjustified for<\/p>\n more than 1 year) failure to participate in the Association\u2019s activity. As regards such<\/p>\n circumstances, documentary and other appropriate inspections shall be carried<\/p>\n out by the Management Board, which shall after finding them draw up a reasoned<\/p>\n proposal to the General Meeting. The resolution of the General Meeting for<\/p>\n cancellation of the membership shall be subject to court review with respect to<\/p>\n its lawfulness and compliance with the Statutes, within one month from learning<\/p>\n about it, but not later than one year from the date of adoption of the<\/p>\n resolution.<\/span><\/span> <\/span><\/p>\n Art.20.<\/strong> The<\/p>\n property relations upon the termination of the membership shall be settled on the basis of the accounting balance as<\/p>\n at the end of the month, in which the termination took place. <\/span><\/span><\/p>\n [\/pl_text] CHAPTER V\u00a0 \u00a0 \u00a0 \u00a0BODIES, POWERS AND REPRESENTATION OF THE ASSOCIATION[\/pl_heading] Art.21<\/strong>.<\/p>\n (1) Bodies of the Association shall<\/p>\n be:1. General Meeting (GM);<\/p>\n 2. Management Board (MB);<\/p>\n 3. Chairperson of the Management Board;<\/p>\n 4. Supervisory Board (SB);<\/p>\n 5. Commission on Ethics (CoE). <\/span><\/span><\/p>\n Art.22.<\/strong> The General Meeting shall be the supreme body of the Association and shall<\/p>\n comprise all members. <\/p>\n <\/span><\/span><\/p>\n Art.23. <\/strong>(1) The General Meeting of the Association shall be convened for a regular<\/p>\n session once per year. If need arises, it may also be convened for<\/p>\n extraordinary sessions.<\/p>\n (2) The General Meeting shall<\/p>\n be convened by the management board on the latter\u2019s initiative or at the<\/p>\n request of one third of the members of the Association. If in the latter case<\/p>\n the management board fails, within one month, to send a written invitation for<\/p>\n the convening of the general meeting, it shall be convened by the court whose<\/p>\n jurisdiction covers the seat of the Association on the grounds of a written<\/p>\n request of the interested members or a person authorized by them.<\/p>\n (3) The invitation must<\/p>\n contain the agenda, date, time and place of conduction of the general meeting<\/p>\n and specify on whose initiative it is being convened. The invitation shall be posted<\/p>\n at the place determined for notices in the building, in which the management of<\/p>\n the Association is located, at least one month before the appointed day.<\/p>\n (4) The General Meeting shall<\/p>\n be considered lawful if all members are validly invited and at least half of<\/p>\n them attend. If quorum is absent the session shall be postponed for an hour<\/p>\n later under the same agenda and shall be considered lawful regardless of the<\/p>\n number of attending members.<\/p>\n (5) A<\/p>\n person shall also be regarded as an attendee if there is a bilateral telephone or another connection with him that<\/p>\n guarantees the verification of his identity and allows his participation in the<\/p>\n discussion and decision making. The voting of this member shall be certified in<\/p>\n the minutes by the chairperson of the session.<\/p>\n (6) The General Meeting shall be convened for extraordinary sessions in<\/p>\n accordance with the procedure provided for hereinabove, as it may also be<\/p>\n carried out by the use of a conference connection. <\/p>\n <\/span><\/span><\/p>\n Art.24.<\/strong> (1) At<\/p>\n the General Meeting every member of the<\/p>\n Association shall be entitled to one vote.<\/p>\n (2) The<\/p>\n resolutions of the General Meeting shall be<\/p>\n adopted by a majority of the votes of the attendees.<\/p>\n (3) The<\/p>\n resolutions for amending and supplementing the Statutes, as well as for transforming and dissolving the Association shall<\/p>\n be adopted by a majority of 2\/3 (two thirds) of the votes of the attendees. <\/p>\n <\/span><\/span><\/p>\n Art.25.<\/strong> (1) Voting<\/p>\n shall be open.<\/p>\n (2) Issues that have not been included in the agenda and duly notified in<\/p>\n advance may not be resolved.<\/span><\/span><\/p>\n <\/font><\/span>Art.26.<\/strong> (1) The General Meeting shall: 1. amend and supplement the Statutes; 2. adopt other internal instruments; 3. elect and remove from office the members<\/p>\n of the Management Board and the Supervisory Board;<\/p>\n 4. adopt and expel members of the<\/p>\n Association; 5. adopt a resolution of the opening and<\/p>\n closing of branches;<\/p>\n 6. adopt a resolution for participation in<\/p>\n other organizations;<\/p>\n 7. adopt a resolution for the<\/p>\n transformation or dissolution of the Association;<\/p>\n 8. adopt the main directions and programme<\/p>\n for the activity of the Association;<\/p>\n 9. adopt the budget of the Association;<\/p>\n 10. adopt resolutions<\/p>\n about the payability and amount of the membership fee or of other property<\/p>\n contributions;<\/p>\n 11. adopt the report on<\/p>\n the activity of the Management Board and the Supervisory Board;<\/p>\n 12. cancel resolutions of the other bodies<\/p>\n of the Association that are in conflict with the law, the Statutes or other<\/p>\n internal instruments regulating the activity of the Association.<\/p>\n (2) The rights referred<\/p>\n to in par.1, subparagraphs 1, 3, 7, 9, 11 and 12 may not be assigned to<\/p>\n other bodies of the Association.<\/p>\n (3) The resolutions of<\/p>\n the general meeting shall be binding upon the other bodies of the Association.<\/p>\n (4) The resolutions of the general<\/p>\n meeting shall be subject to court review in terms of their lawfulness and<\/p>\n compliance with the Statutes, as they may be disputed within month after<\/p>\n learning about them, but not later than one year from the adoption of the<\/p>\n resolution.<\/span><\/span><\/span><\/p>\n Art.27. <\/strong>Minutes<\/p>\n shall be kept for the sessions of the General Meeting, which<\/p>\n shall be signed by the chairperson and the minutes-keeper. The Minutes from the<\/p>\n sessions of the General Meeting shall be accessible for all members who will be<\/p>\n able to review them and request copies of or extracts from them. <\/span><\/span><\/p>\n Art.28.<\/font><\/strong> The management board of the Association<\/p>\n shall consist of five persons, Regular members of the Association, elected by the<\/p>\n General Meeting with 2 mandates of three years.<\/span><\/span><\/p>\n <\/span> Art.29.<\/strong><\/p>\n The management board shall:<\/p>\n 1. manage and represent the Association, determine<\/p>\n one of its members as a chairperson, as well as determine the volume of the<\/p>\n representative powers of its individual members;<\/p>\n 2. ensure the performance of the<\/p>\n resolutions of the general meeting;<\/p>\n 3. dispose of the property of the<\/p>\n Association subject to the requirements of the Statutes;<\/p>\n 4. prepare and put forward to the general<\/p>\n meeting a draft budget;<\/p>\n 5. prepare and put forward to the general<\/p>\n meeting a report on the activity of the Association;<\/p>\n 6. determine the procedure and organize the<\/p>\n performance of the activity of the Association, and be responsible for that;<\/p>\n 7. determine the address of the Association;<\/p>\n 8. adopt resolutions on all issues that do<\/p>\n not fall according to the law or the Statutes within the rights of another body;<\/p>\n 9. adopt current programmes for the<\/p>\n activity of the Association.<\/p>\n 10. determine the<\/p>\n remuneration of the associates and employees of the Association<\/p>\n 11. elaborate rules for<\/p>\n the conduction of competitions, conferences, seminars and other activities<\/p>\n related to the activity of the Association.<\/p>\n 12. exercise and fulfil also other rights and obligations provided for<\/p>\n in the Statutes. <\/span><\/span><\/p>\n Art.30. <\/strong>(1) The management board shall be convened for a session at least once per two<\/p>\n months. The convening shall take place by an invitation sent by the Chairperson<\/p>\n of the Association to each of the members of the Management Board, which shall<\/p>\n specify the date, time, place and agenda for the session. The Chairperson shall<\/p>\n be bound to convene a session of the management board upon a written request of<\/p>\n one third of its members. If the chairperson does not convene a session of the<\/p>\n management board within one week, it may be convened by each of the interested members<\/p>\n of the management board. The sessions of the Management Board shall be directed<\/p>\n by the Chairperson of the Association. If the chairperson is absent, the<\/p>\n session shall be directed by the Deputy-Chairperson, and if he is absent \u2013 by a<\/p>\n member thereof elected by the management board.<\/p>\n (2) The session of the Management Board<\/p>\n shall have quorum if all members are validly invited and at least 2\/3 of them<\/p>\n attend.<\/p>\n (3) A person<\/p>\n shall also be regarded as an attendee if there is a bilateral<\/p>\n telephone or another connection with him that guarantees the verification of<\/p>\n his identity and allows his participation in the discussion and decision<\/p>\n making. The voting of this member shall be certified in the minutes by the<\/p>\n chairperson of the session.<\/p>\n <\/span><\/span><\/p>\n Art.31.<\/strong> (1) The management board shall adopt its resolutions by simple majority of its<\/p>\n attending members. The resolutions for determination of a liquidator of the<\/p>\n Association, as well as for disposal of the property of the Association and<\/p>\n determination of the procedure and organization of the performance of the<\/p>\n activity shall be adopted by a majority of all members of the Management Board.<\/p>\n (2) The Management Board may<\/p>\n adopt a resolution in absentia as well, if the minutes are signed for the<\/p>\n adopted resolution without notes and objections in this respect by all members of<\/p>\n the management board.<\/p>\n (3) Minutes shall be kept<\/p>\n for the sessions of the Management Board, which shall be signed by the<\/p>\n attending members and by the minutes-keeper. The Minutes from the sessions of<\/p>\n the Management Board shall be accessible for all members who will be able to<\/p>\n review them and request copies of or extracts from them.<\/p>\n (4) Until<\/p>\n a new Management Board is elected,<\/p>\n the old one shall continue performing its functions.<\/p>\n (4) The powers of a member of the Management Board shall be terminated early if<\/p>\n he is put under judicial disability, in case of death and if his requests so. When<\/p>\n a member of the Management Board wants to leave it, he must file to the<\/p>\n Management Board a three-month written prior notice. Upon the occurrence of any<\/p>\n of the specified circumstances, the Management Board shall mandatorily convene the<\/p>\n General Meeting to fill the vacated positions in it. The General Meeting of the<\/p>\n Association may always remove from office a member of the Management Board when<\/p>\n it finds that there is an abuse, violation of the effective Statutes or of the<\/p>\n laws of the country and in the absence of interest and activity with respect to<\/p>\n the activity of the Association.<\/span><\/span><\/p>\n Art.32.<\/strong> (1) The<\/p>\n Chairperson of the Association shall be<\/p>\n determined and elected among the members of the Management Board. He shall be<\/p>\n entitled to mandates of 3 years each.<\/p>\n (2) The Association shall be represented by the Chairperson.<\/p>\n (3) The Chairperson shall not have the right to be elected for more than two<\/p>\n mandates in a row. <\/span><\/span><\/p>\n Art.33.<\/strong> The<\/p>\n Chairperson shall have the following powers:<\/p>\n 1. represent the Association<\/p>\n before state and public bodies and institutions, other associations in the<\/p>\n country and abroad, companies, private persons, etc.;<\/p>\n 2. preside over the<\/p>\n sessions of the Management Board;<\/p>\n 3. convene sessions of the<\/p>\n Management Board;<\/p>\n 4. enter into contracts<\/p>\n with third parties subject to the approval of the Management Board;<\/p>\n 5. fulfil other obligations<\/p>\n ensuing from the law and the Statutes or assigned to it by internal instruments<\/p>\n of the Association.<\/span> <\/span><\/p>\n Art.34.<\/strong><\/p>\n (1) The powers of the chairperson shall be<\/p>\n terminated early in the following cases:<\/p>\n 1. resignation is filed<\/p>\n before the General Meeting;<\/p>\n 2. permanent inability to<\/p>\n fulfil his obligations and powers for more than 6 (six) months.<\/p>\n 3. death or putting under<\/p>\n judicial disability.<\/p>\n (2) In<\/p>\n case of early termination of the powers of the Chairperson,<\/p>\n until a new Chairperson is elected by the General Meeting of the Association, his<\/p>\n functions shall be performed by the Deputy-Chairperson, and if the latter is<\/p>\n not able either \u2013 by a member of the Management Board authorized by the<\/p>\n Management Board. <\/span><\/span><\/p>\n Art.35.<\/strong> The Management Board shall determine one of its members as a Deputy-Chairperson.<\/p>\n The Deputy-Chairperson shall exercise the powers of the Chairperson when the<\/p>\n latter is absent or in case of early termination of the Chairperson\u2019s powers<\/p>\n until the election of a new Chairperson. By a resolution of the Management<\/p>\n Board, the Deputy-Chairperson may also be given other powers in order to assist<\/p>\n the Chairperson\u2019s activity. <\/p>\n <\/span><\/span><\/p>\n Art.36.<\/strong> The<\/p>\n Supervisory Board shall be a supreme supervisory body. It shall<\/p>\n consist of three persons, members of the Association, elected by the General<\/p>\n Meeting with a three-year mandate. The members of the Supervisory Board may not<\/p>\n be members of the Management Board or employees of the Association at the same<\/p>\n time. <\/span><\/span><\/p>\n Art.37.<\/strong> (1) The Supervisory Board shall be bound to audit the affairs of the ASSOCIATION<\/p>\n every six months. Audits may be carried out at any time when the Supervisory<\/p>\n Board deems it necessary. Records shall be drawn up for the conducted audit,<\/p>\n which shall be entered in a separated book of records.<\/p>\n (2) The Supervisory Board<\/p>\n shall exert control over the activity of the Management Board by controlling<\/p>\n its operations for achievement of the Association\u2019s objectives. When the<\/p>\n Supervisory Board finds irregularity, it may request clarification from the<\/p>\n Management Board. In case that the answer from the Management Board is not<\/p>\n exhaustive and satisfactory, this issue shall be raised at the session of the General<\/p>\n Meeting.<\/p>\n (3) The Supervisory Board<\/p>\n shall be bound to draw up an annual report on the financial condition of the Association.<\/p>\n The report must be drawn up not later than up to one month before the regular<\/p>\n annual session of the General Meeting.<\/span><\/span><\/p>\n Art.38.<\/strong> (1) The Supervisory Board shall be convened for a session by its chairperson at<\/p>\n least once every 3 months. The chairperson of the Supervisory Board shall also<\/p>\n be bound to convene the Supervisory Board on the proposal of 1\/3 of its members.<\/p>\n The Supervisory Board shall adopt a resolution by simple majority of the<\/p>\n attendees.<\/p>\n (2) The chairperson of the Supervisory Board shall be elected among the members of the<\/p>\n Supervisory Board by a majority of 2\/3.<\/p>\n (3) The<\/p>\n powers of a member of the Supervisory Board shall be terminated early if he is put under judicial<\/p>\n disability, in case of death and if his requests so. When a member of the Supervisory Board wants to<\/p>\n leave it, he must file to the Supervisory Board a three-month written prior notice. The General Meeting<\/p>\n of the Association may always remove from office a member of the Supervisory Board when it<\/p>\n finds that there is an abuse, violation of the effective Statutes or of the<\/p>\n laws of the country and in the absence of interest and activity with respect to<\/p>\n the activity of the Association. <\/span><\/span><\/p>\n Art.39.<\/strong> The<\/p>\n Commission on Ethics shall exert control over the observance of the ethical rules of the Association and the Code of Ethics of the<\/p>\n Bulgarian Medical Association and create ethical rules for privately practicing<\/p>\n psy<\/span><\/span>chiatrists. <\/span><\/p>\n [\/pl_text] CHAPTER VI\u00a0 \u00a0 \u00a0 \u00a0DISSOLUTION AND LIQUIDATION OF THE ASSOCIATION. DISTRIBUTION OF THE PROPERTY AFTER SATISFACTION OF THE CREDITORS[\/pl_heading] <\/p>\n <\/p>\n Art.40<\/strong>. (1) The<\/p>\n Association shall be dissolved by a resolution of the General<\/p>\n Meeting. <\/p>\n (2) The Association shall be dissolved by the registration court:<\/p>\n 1. when not duly<\/p>\n established;<\/p>\n 2. when its activity<\/p>\n conflicts with the law, the Statutes or the public order and good morals;<\/p>\n 3. when declared bankrupt. <\/span><\/span><\/p>\n Art.41<\/strong>. (1) Upon<\/p>\n dissolution of the Association liquidation<\/p>\n shall be carried out.<\/p>\n (2) The<\/p>\n liquidation shall be carried out by the management body or by a<\/p>\n person determined by it.<\/p>\n (3) In<\/p>\n case of bankruptcy the procedure provided for in<\/p>\n the provision of art.14 par.4 of the Non-Profit Legal Entities Act shall apply. <\/p>\n <\/span><\/span><\/p>\n Art.42. <\/strong>The<\/p>\n distribution of the property that is left after the satisfaction of the creditors shall be carried out on the basis of a resolution<\/p>\n of the General Meeting of the Association. If no resolution has been adopted<\/p>\n until the dissolution, the liquidator shall decide.<\/p>\n <\/span><\/span><\/p>\n [\/pl_text] CHAPTER VII\u00a0 \u00a0 \u00a0 \u00a0FINAL PROVISIONS[\/pl_heading] Art.43. <\/strong>On<\/p>\n the basis of a proposal of the Management Board the<\/p>\n General Meeting may declare prominent Bulgarian or foreign specialists having<\/p>\n rendered special service to the psychiatric science and practice honorary members<\/p>\n of the Association. They shall not form a part of the members and shall not pay<\/p>\n a membership fee, as they shall have the right to participate in the sessions<\/p>\n of the General Meeting with a deliberative vote. The General Meeting may by a<\/p>\n resolution elect one or several honorary chairpersons of the Management Board (former<\/p>\n chairpersons or Regular members having rendered special service to the<\/p>\n Association). The honorary chairperson of the Management Board may take part in<\/p>\n its proceedings with a deliberative vote. Art.44.<\/strong> On<\/p>\n the basis of a proposal of the Management Board for<\/p>\n special merit, the General Meeting may distinguish its members or other persons<\/p>\n with an honorary sign of the Association. <\/span><\/span><\/p>\n Art.45. <\/strong>Issues<\/p>\n not settled in the Statutes shall be governed<\/p>\n by the provisions of the Non-Profit Legal Entities Act and other legal<\/p>\n instruments in effect in the country.<\/span><\/span><\/p>\n Art.46.<\/strong> The Statutes were adopted at the founding meeting, which took place in the<\/p>\n city of Sofia on 30 February 2000.
